We have worked with software companies and businesses in numerous software engineering activities, including design, development, project management, testing, and quality assurance.

Our experience includes working with a wide range of software products, including products developed for the retail, distribution, financial services, manufacturing, professional services, and health care industries.

Some of the products that we have worked with are: SAP, Peoplesoft, J.D. Edwards, Great Plains, Oracle Financials, and i2; environments and tools including Java development environments, Microsoft Visual Studio/Visual Studio.NET, Rational, and open source; as well as several software source code management products including, for example, PerForce and CVS; and several different programming languages including, ABAP, COBOL, Fortran, Java, Javascript, Visual Basic, VBScript, C++, and others. Our database experience includes working with Oracle, MySQL, DB/2, SQL Server, and Microsoft Access.

The company has access to and maintains databases and related supporting information on the software industry, the telecommunications industry, and the Internet that can be used to benchmark performance as well as comparative statistics for other metrics.

Valuation

We have worked with software companies and private investors to value software technologies and companies for business transactions, including financing, acquisitions, and divestitures. This work typically involves evaluating the software code, product roadmaps, finances of the respective company and its products, and other due diligence activities. Our responsibilities have included assisting management in negotiations and post-transaction activities.

We have access to and maintain multiple databases and other sources of proprietary information that assist us when doing valuation work.

Representative Engagements

We were retained by a private equity firm to assist management in one of their portfolio software companies in the health care industry in software design, development, and testing. Our work included evaluating the company’s source code and product development maps.

We were retained by a publicly-traded company that provides outsourced services to global corporations to assist in the due diligence process for the acquisition of a software and services company. Our work included assessing the architecture and design of the target company’s software and consideration of several technical and business issues, including scalability and performance.

We were retained by a telecommunications software and services company to value their software in anticipation of private-equity and bank financing.

We were retained by a Boston-area company to value the company’s patent and other intellectual property and to assist management in the negotiation of a licensing agreement with a global distributor.
